Terms of Service
These Terms of Service (“Terms”) set out the agreement between you and Cragfall Inc. (“Cragfall”, “we”, “us”) for access to and use of our website and services. By using Cragfall you agree to these Terms; if you do not agree, do not use our services.
1. Service description
Cragfall provides tools to discover SaaS discounts and optimize software spend, including connectors that analyze subscription and billing metadata, dashboards, and related integrations. Features, availability, and pricing are described on our website and in your order or subscription agreement.
2. Eligibility
You must be at least 18 years old and have authority to bind any organization you represent. Accounts for organizations must be created by authorized representatives.
3. Accounts, security & credentials
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us immediately of any unauthorized access by contacting support@cragfall.com. We implement industry-standard controls (see our Security page) but you must also follow good security practices.
4. Payment, subscriptions & refunds
Paid features are provided on a subscription basis unless otherwise stated. By subscribing you authorize us to charge the payment method you provide or our third-party payment processors. Refunds are handled per the plan terms; contact billing at billing@cragfall.com for questions.
5. Use of Customer Data
Customer Data means data customers upload or transmit to Cragfall via the service (including subscription and billing metadata used for discount discovery). Customers remain responsible for the legality of Customer Data and for securing necessary consents. We process Customer Data on behalf of customers and as described in our Privacy Policy and any applicable Data Processing Addendum.
6. Acceptable use
You must not misuse the service (including attempting unauthorized access, sending malicious content, or using the service to violate laws). We reserve the right to suspend or terminate accounts that threaten service integrity or violate these Terms.
7. Intellectual property
Cragfall and its licensors retain all rights, title, and interest in the service, software, trademarks, and content (excluding Customer Data). You are granted a limited, non-exclusive license to use the service as authorized in these Terms.
8. Confidentiality
Each party will keep the other’s confidential information secure and will not disclose it except as required by law or to perform the services. Customer Data is treated as confidential and handled according to our Privacy Policy and Compliance commitments.
9. Warranties & disclaimers
We provide the service “as is” and disclaim all implied warranties to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation, nor results from using the service (including suggested discounts or savings).
10. Limitation of liability
To the maximum extent permitted by law, Cragfall’s aggregate liability for claims arising from these Terms will not exceed the fees paid by you to Cragfall in the 12 months preceding the claim (or $100 if no fees were paid). We are not liable for indirect or consequential damages.
11. Indemnification
You will indemnify and hold Cragfall harmless from claims arising from your use of the service, your violation of these Terms, or your infringement of third-party rights.
12. Termination
Either party may terminate for material breach if the breach is not cured within 30 days of notice. Upon termination we will delete or return Customer Data in accordance with our Privacy Policy and our retention practices, subject to legal obligations.
13. Governing law & disputes
These Terms are governed by the laws specified in your order; absent an order, by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Parties will attempt to resolve disputes informally before pursuing litigation.
14. Changes
We may update these Terms; material changes will be posted with an updated effective date and, when appropriate, notified to account holders. Continued use after changes constitutes acceptance.
